These Terms and Conditions apply to website design, hosting and related services provided by Launchpad Websites (“Launchpad”, “we”, “us” or “our”).

 

By purchasing a Launchpad Websites package, placing an order with us or continuing to use our services, you (“the Customer”, “you” or “your”) agree to these Terms and Conditions.

 

Please read them carefully before placing an order.

 

 

1. About Launchpad Websites

 

Launchpad Websites provides professionally designed websites through a range of monthly and annual packages.

2. Our Website Package

 

The features included within your website will depend upon the package purchased.

 

Our standard packages include:

 

Bronze – 1 Page Website

Silver – 4 Page Website

Gold – 7 Page Website

Platinum – 10 Page Website

 

Full details of the features included within each package are shown on our website at the time of purchase.

 

Additional pages, functionality, revisions or services outside the scope of your selected package may be subject to additional charges.

 

Your Launchpad package is an ongoing website service. Your website and the services associated with it will remain available for as long as your service remains active, all applicable payments are kept up to date and you comply with these Terms and Conditions.

 

 

3. Annual and Monthly Payments

 

Launchpad Websites packages may be purchased on either a monthly or annual payment basis, depending upon the option selected when ordering.

 

By purchasing a package, you agree to pay the applicable charges when they become due.

 

Recurring payments are collected securely using GoCardless Direct Debit or another payment method agreed with us.

 

It is your responsibility to ensure that a valid payment arrangement remains in place and that sufficient funds are available to make payments when they fall due.

 

Monthly packages are subject to a minimum initial term of 12 months.

 

Annual packages are paid for 12 months in advance.

 

 

4. Failed, Missed or Cancelled Payments

 

Your Launchpad website is an ongoing service and requires all applicable monthly or annual payments to remain up to date.

 

If:

 

  • a payment fails;
  • a payment becomes overdue;
  • you cancel your Direct Debit without cancelling your service in accordance with Section 6;
  • you instruct your bank to prevent payment;
  • a payment is reversed or charged back; or
  • you otherwise fail to maintain the payments required under your package,

We reserve the right to suspend, disable or remove your website and any associated services without further notice.

 

Cancelling your Direct Debit does not constitute cancellation of your Launchpad Websites service.

 

You remain responsible for any payments due under your agreed minimum term, annual service period or applicable notice period.

 

Where a website has been suspended because of non-payment, all outstanding amounts must be paid before we will consider reinstating the website.

 

Reinstatement may also be subject to an administration or restoration charge where additional work is required.

 

We cannot guarantee that website files, data or content will remain available indefinitely following termination for non-payment.

 

Where a website has been deleted following non-payment, restoration may not be possible.

 

 

5. Recurring Payments and Renewals

 

Monthly Packages

 

Monthly packages are subject to an initial minimum term of 12 months.

 

Following the initial 12-month period, your service will continue on a monthly rolling basis until cancelled in accordance with Section 6.

 

Annual Packages

 

Annual packages are provided for a period of 12 months and are paid annually in advance.

 

Your service will renew annually unless it is cancelled in accordance with Section 6.

 

By purchasing a Launchpad Websites package, you agree to maintain the required payment arrangement and pay all charges falling due in accordance with these Terms.

 

We may change our package prices from time to time.

 

Where a price change affects an existing recurring service, we will provide reasonable notice before the new price takes effect.

 

 

6. Cancellation

 

The cancellation terms applicable to your service depend upon whether you have selected monthly or annual payments.

Monthly Payment Packages

 

Monthly payment packages are subject to a minimum initial term of 12 months.

 

You cannot cancel your monthly service during the initial 12-month period.

 

Once the initial 12-month period has passed, you may cancel your service by providing Launchpad Websites with at least 30 days’ written notice.

 

Your monthly service will continue, and applicable payments will remain payable, throughout the notice period.

 

All payments falling due during the initial 12-month minimum term and any applicable notice period remain payable.

 

Annual Payment Packages

 

Annual packages are purchased and paid for 12 months in advance.

 

If you decide to cancel during your current 12-month period, no refund will be due for any unused portion of that year.

 

Your website and associated Launchpad services will normally remain active until the end of the annual period you have already paid for, provided you continue to comply with these Terms and Conditions.

 

Your website and associated services will then terminate at the end of that annual period unless a website transfer has been arranged in accordance with Section 7.

 

If you do not wish your annual service to renew, you must provide us with at least 30 days’ written notice before your annual renewal date.

 

If the required cancellation notice is not received at least 30 days before your renewal date, your service may renew for a further annual period and the applicable annual payment will become due.

 

How to Cancel

 

All cancellation requests must be made directly to Launchpad Websites in writing at:

 

accounts@launchpadwebsites.co.uk

 

Cancelling your Direct Debit with GoCardless or your bank does not constitute notice of cancellation.

 

Cancelling a Direct Debit does not remove your responsibility to pay any amounts due under your minimum term, annual renewal or notice period.

 

Once your service reaches its agreed termination date, your website will be taken offline unless a transfer to another provider has been arranged in accordance with Section 7.

 

 

7. Website Ownership and Transfer

 

All websites designed and built as part of a Launchpad Websites package remain the property of Launchpad Websites while provided as part of an active Launchpad service.

 

Payment of monthly or annual package fees provides you with the right to use the website while your Launchpad service remains active and your payments are up to date.

 

Payment of your monthly or annual fees does not, by itself, transfer ownership of the website to you.

 

Launchpad Websites retains ownership of the website itself, including its:

 

  • Design and layout
  • Website build
  • Templates
  • Code and styling
  • Page structures
  • Launchpad-created design elements

 

You retain ownership of original materials supplied by you, including your:

 

  • Business name and logo
  • Branding
  • Photographs
  • Written content
  • Videos
  • Business information
  • Other original materials owned by you

 

Third-party themes, plugins, software, fonts, stock imagery and other licensed materials remain subject to the respective owners’ licence terms.

 

Moving Your Website to Another Provider

 

We understand that circumstances can change. If you decide to leave Launchpad Websites and would like to take your existing website to another website or hosting provider, this can be arranged subject to an administration/transfer fee.

 

Please contact us before your Launchpad service ends so that we can discuss the transfer and confirm the applicable fee.

 

A website transfer will only take place once:

 

  • your Launchpad service has been correctly cancelled in accordance with Section 6;
  • all outstanding payments have been made;
  • any applicable minimum term has been completed;
  • the applicable administration/transfer fee has been paid in full; and
  • any third-party licensing requirements have been addressed.

 

Once these conditions have been satisfied, we will make reasonable arrangements to transfer the website to you or your nominated provider and will grant or transfer such rights in the Launchpad-created website as are necessary for you to continue using that website independently of the Launchpad service.

 

Any third-party materials incorporated into the website will remain subject to their applicable licences and cannot be transferred where the relevant licence does not permit it.

 

Once the website has been transferred, Launchpad Websites will no longer be responsible for hosting, maintaining, updating, securing or supporting the website unless a separate agreement has been made.

 

We cannot guarantee that all third-party software, licences or functionality used as part of our managed service can be transferred to or operated by another provider.

 

 

8. Information and Content Supplied by You

 

You are responsible for providing the information and content reasonably required for us to build your website.

 

This may include:

 

  • Business information
  • Written content
  • Contact information
  • Logos
  • Photographs
  • Product or service information
  • Social media links
  • Other relevant materials

 

You must ensure that information supplied to us is accurate and that you have the necessary rights and permissions to use any text, images, logos, photographs or other material you provide.

 

Launchpad Websites accepts no responsibility for copyright infringement or other claims arising from material supplied by the Customer.

 

 

9. Website Content

 

We may help structure, edit or adapt information supplied by you so that it works effectively within your website.

 

Unless professional copywriting services have specifically been purchased or included within your package, you remain responsible for checking and approving the accuracy of your website content.

 

This includes:

 

  • Prices
  • Product information
  • Service descriptions
  • Contact information
  • Opening hours
  • Legal statements
  • Qualifications
  • Accreditations
  • Claims made about your business

 

 

10. Website Design, Revisions and Additional Work

 

Your website will be designed based on the package you have purchased, the information provided through your onboarding questionnaire and any additional material supplied to us.

 

We will use our professional judgement when determining the layout, styling, typography, imagery and overall presentation of your website.

 

Your package may include a specified level of revisions, amendments or ongoing website changes. The exact allowance will be as described within the package purchased.

 

Work Outside Your Package

 

Any revisions, amendments, additional pages, functionality, design work or other services that fall outside the allowance or scope of your package will be chargeable.

 

Where additional charges apply, we will advise you of the cost before carrying out the work.

 

All additional work is payable in advance and work will only commence once payment has been received in full.

 

Payment for additional work does not change the ownership of the website or alter the terms of your ongoing Launchpad Websites package unless expressly agreed by us in writing.

 

 

11. Customer Approval

 

Before your website is launched, you may be asked to review and approve it.

 

It is your responsibility to check the accuracy of:

 

  • Spelling and grammar
  • Telephone numbers
  • Email addresses
  • Prices
  • Business information
  • Links
  • Images
  • Service and product information
  • Any other important content

 

Once you have approved the website for launch, Launchpad Websites will not be responsible for errors or omissions that were reasonably apparent during the approval process.

 

Any amendments requested after approval may be chargeable if they fall outside the allowance included within your package.

 

 

12. Website Timescales

 

We aim to build and launch websites as quickly as reasonably possible.

 

Any estimated completion or launch date is an estimate and is not guaranteed unless expressly agreed otherwise in writing.

 

The speed at which we can complete your website depends partly upon receiving the required content and information from you.

 

Delays in receiving information, content, images, feedback or approval may delay completion of your website.

 

We will not be responsible for delays caused by circumstances outside our reasonable control.

 

 

13. Hosting

 

Website hosting is provided as part of your active Launchpad Websites package where stated.

 

Your website will remain hosted while:

 

  • your Launchpad service remains active;
  • all applicable payments remain up to date; and
  • you comply with these Terms and Conditions.

 

We aim to provide a reliable hosting service but cannot guarantee that websites will be available 100% of the time.

 

Hosting may occasionally be unavailable because of maintenance, technical issues, security incidents, third-party infrastructure failures or circumstances outside our reasonable control.

 

 

14. Domain Names

 

Where a domain name is included within your package, availability cannot be guaranteed until the domain has been successfully registered.

 

Domain registrations are subject to the terms and conditions of the relevant domain registrar.

 

Where Launchpad Websites registers or manages a domain on your behalf, continued registration and management may depend upon your Launchpad service remaining active and your payments being kept up to date.

 

Premium domain names, premium renewals or unusually expensive domain extensions may incur an additional charge.

 

If you terminate your Launchpad service and wish to transfer your domain, please contact us so that appropriate transfer arrangements can be made.

 

 

15. Email Services

 

Unless specifically stated as part of your package, business email services are not included.

 

Where we assist with setting up or managing third-party email services, those services may be subject to separate charges and the third-party provider’s own terms and conditions.

 

Launchpad Websites is not responsible for outages, delivery problems or service failures caused by third-party email providers.

 

 

16. Website Maintenance and Updates

 

Where ongoing technical maintenance is included within your package, we will carry out reasonable maintenance necessary to keep your website operational.

 

This may include WordPress, theme and plugin updates where appropriate.

 

Maintenance does not include unlimited changes to your website’s content, design, pages or functionality unless expressly stated as part of your package.

 

Changes outside the scope of your package will be treated as additional work and charged in accordance with Section 10.

 

 

17. WordPress and Third-Party Software

 

Launchpad websites may use WordPress and third-party themes, plugins, software and services.

 

We cannot guarantee that third-party software will always remain available, compatible or unchanged.

 

Occasionally, website functionality may need to be changed, replaced or removed because a third-party provider has altered or discontinued its product or service.

 

We will take reasonable steps to maintain the operation of websites under an active Launchpad service but cannot be held responsible for changes or failures caused by third-party providers outside our reasonable control.

 

 

18. Search Engines and SEO

 

We build websites using generally accepted website development practices; however, we cannot guarantee any particular position or ranking within Google or any other search engine.

 

Search engine rankings depend upon many factors outside our control.

 

SEO, Google Ads, social media management and other digital marketing services are not included unless specifically stated within your package or purchased separately.

 

 

19. Website Security

 

We take reasonable precautions to protect websites hosted and maintained by us.

 

However, no website, server or internet-based system can be guaranteed to be completely secure.

 

We cannot guarantee that your website will never experience hacking attempts, malware, spam, outages or other malicious activity.

 

Where reasonably possible, we will take appropriate action to resolve technical or security problems affecting websites under an active Launchpad service.

 

 

20. Acceptable Use

 

You must not use a Launchpad website for any unlawful, fraudulent, abusive or otherwise prohibited purpose.

 

You must not knowingly use your website to distribute malware, infringe intellectual property rights, facilitate fraud or carry out any activity prohibited by applicable law.

 

We reserve the right to refuse, suspend or terminate services where a website contains unlawful material, infringes the rights of others, creates a security risk or could reasonably damage our systems, reputation or other customers.

 

 

21. Refunds

 

Monthly package payments are non-refundable once they have fallen due under your agreement.

 

Annual packages are paid for 12 months in advance. If you choose to cancel during an annual service period, no refund will be provided for any unused portion of that period.

 

Additional work paid for in accordance with Section 10 may be non-refundable once that work has commenced.

 

Nothing within these Terms and Conditions affects any statutory rights that cannot legally be excluded.

 

 

22. Limitation of Liability

 

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

 

Subject to applicable law, Launchpad Websites will not be responsible for indirect or consequential losses arising from the use or unavailability of a website, including loss of profits, revenue, business opportunities or anticipated savings.

 

We will not be responsible for losses resulting from:

 

  • Incorrect information supplied by the Customer
  • Third-party software or services
  • Internet or hosting infrastructure failures outside our reasonable control
  • Search engine ranking changes
  • Customer modifications to the website
  • Unauthorised access outside our reasonable control
  • Suspension resulting from overdue, failed or cancelled payments

 

Where permitted by law, our total liability arising from the provision of a Launchpad package will be limited to the amount paid by the Customer to Launchpad Websites for the relevant service during the preceding 12 months.

 

 

23. Termination by Launchpad Websites

 

We reserve the right to suspend or terminate a service where:

 

  • Payments are overdue, missed or cancelled
  • These Terms and Conditions have been materially breached
  • The website is being used unlawfully
  • The Customer’s actions create a security risk
  • The Customer engages in abusive or threatening behaviour towards our staff or contractors
  • Continuing to provide the service would expose us to legal or regulatory risk

Where appropriate, we will attempt to resolve issues before terminating a service.

 

However, non-payment, cancellation of the required Direct Debit or failure to maintain the agreed payment arrangement may result in immediate suspension, disabling or removal of your website without further notice, as set out in Section 4.

 

 

24. Changes to These Terms

 

We may update these Terms and Conditions from time to time to reflect changes to our services, technology, pricing or legal requirements.

 

The latest version will always be available on the Launchpad Websites website.

 

Where a material change significantly affects an existing paid service, we will provide reasonable notice where appropriate.

 

 

25. Privacy and Cookies

 

Our handling of personal information is explained in our Privacy Policy.

 

Information about cookies and similar technologies used by our website is provided in our Cookie Policy.

 

These policies should be read alongside these Terms and Conditions.

 

 

26. Governing Law

 

These Terms and Conditions are governed by the laws of England and Wales.

 

The courts of England and Wales will have jurisdiction in relation to disputes arising from these Terms, subject to any mandatory legal rights concerning where proceedings may be brought.
